End User License Agreement (EULA)
This End User License Agreement ("Agreement") is a legal agreement between you ("Licensee") and Opaque Sound ("Licensor") governing the use of the audio sample pack and production suite ("Product"). By purchasing, downloading, installing, or otherwise using the Product, you agree to be bound by the terms and conditions of this Agreement.
1. Grant of License:
Subject to the terms and conditions of this Agreement, Licensor hereby grants Licensee a non-exclusive, non-transferable license to use the Product in accordance with the terms herein.
2. Permitted Uses:
Licensee may use the Product for the creation of musical compositions, recordings, and other audio-visual works.
Licensee may modify, edit, and manipulate the samples included in the Product to create derivative works.
3. Restrictions:
Licensee may not resell, redistribute, sublicense, or otherwise make the Product available to any third party.
Licensee may not use the Product in any manner that infringes upon the intellectual property rights of Licensor or any third party.
Licensee may not use the Product in any defamatory, obscene, or unlawful manner.
4. Royalty-Free License:
The samples included in the Product are provided on a royalty-free basis, meaning Licensee is not required to pay royalties for their use.
Notwithstanding the foregoing, if a musical composition created using the Product achieves 1 million plays on digital streaming platforms or is published by a major record label, Licensee shall be required to pay royalties to Licensor.
5. Ownership:
Licensor retains all right, title, and interest in and to the Product, including all copyrights and other intellectual property rights therein.
6. Termination:
This Agreement shall remain in effect until terminated by either party. Licensor reserves the right to terminate this Agreement immediately upon any breach of its terms by Licensee.
7. Limitation of Liability:
In no event shall Licensor be liable for any indirect, incidental, special, punitive, or consequential damages arising out of or in connection with the use of the Product.
8. Governing Law:
This Agreement shall be governed by and construed in accordance with the laws of The United States, without regard to its conflict of laws principles.
9. Entire Agreement:
This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.
By purchasing, downloading, installing, or otherwise using the Product, Licensee acknowledges that they have read and understood this Agreement and agree to be bound by its terms and conditions. If Licensee does not agree to these terms, they must not use the Product.
